Mergers & Acquisitions
Mergers and acquisitions (M&A) are transformative events that can drive growth, diversification, and market power. However, even the simplest M&A deal presents complex legal, regulatory, and operational challenges – especially in Nepal’s evolving business environment. Every transaction, whether a domestic merger or a cross-border acquisition involving foreign investment, requires meticulous planning, thorough due diligence, and skilled negotiation to ensure compliance and mitigate risk.
Gandhi & Associates provides end-to-end legal support for M&A transactions of all sizes. We leverage decades of experience in Nepal’s corporate landscape to navigate our clients through each stage – from structuring and due diligence to regulatory approvals and post-merger integration. We take a holistic approach that balances legal precision with commercial practicality, addressing all aspects (corporate, regulatory, employment, tax) so that our clients’ interests are safeguarded at every step. Our team has guided local and international clients through complex mergers, acquisitions, joint ventures, and exits, including transactions involving Nepal’s foreign direct investment regulations and multi-jurisdictional considerations.
Representative Experience:
- Advised on a merger between two Nepal-based companies, both with foreign investment, requiring complex regulatory approvals and post-merger compliance;

- Regularly advise foreign investors, both private and state-owned (particularly Chinese and Indian investors), on M&A transactions in Nepal, including due diligence, investment structuring, and regulatory approvals; and
