With the recent significant influx of vast amounts of capital into the country through foreign direct investments and remittance, the financial sector has seen an unprecedented boom. As part of our general business and corporate practice, the firm advises clients in a variety of corporate and securities-related transactions, including financing, initial public offerings, periodic reporting, and Companies Registrar Office compliance issues; mergers and acquisitions, strategic alliances, joint venture transactions, investment advisors and mutual funds, partnerships, and other syndication-type transactions.

We provide advice on matters relating to share floatation, initial public offerings (“IPOs”), bond and private debt securities issues, and business expansion schemes. While representing clients, we advise on public issues of equity and debenture from the stage of drafting of the letter or prospectus to consummating the transactions.

Mr. Gandhi Pandit and Mr. Raju Man Singh Malla were both involved in the drafting, improving, and strengthening of the Security, Insolvency, and Secured Transaction laws in Nepal. Mr. Pandit has closely worked with the Securities Board of Nepal and the Asian Development Bank in improving securities regulations in Nepal.

Raju is a Former Secretary of the Government of Nepal, and holds a Post Graduate Diploma in International Law from London, UK.
